  • End users must play fair – no illegal, harmful, or abusive use of our services.
  • Stay secure – clients are responsible for keeping account logins safe.
  • Payments are required for paid services – non-payment may result in suspension.
  • We don't guarantee perfection – while we work hard to provide reliable service, downtime or errors may occur.
  • Our liability is limited – we're not responsible for indirect damages, and any claim is capped at what you've paid us in the past year.
  • We may update these terms – if we do, we'll notify clients.
  • You can leave anytime – by closing your account.

Welcome to ContentCanoe! These Terms of Service ("Terms") govern your use of the services provided by ContentCanoe ("ContentCanoe," "we," "our," or "us"). By creating an account, using our services, or accessing any hosted content, you agree to be bound by these Terms. If you are using the services on behalf of a company or organization, you represent that you have the authority to bind that entity to these Terms.

1. Services

ContentCanoe provides a platform for clients to host, distribute, and integrate audio and video content, including:

  • RSS feed hosting
  • Media file hosting
  • Website integration
  • Single sign-on (SSO) services
  • Messaging services

We may update, improve, or modify these services at any time.

2. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to create a client account. End users accessing hosted content must comply with applicable client and ContentCanoe policies.

3. Client Accounts

  • Clients are responsible for maintaining the security of their accounts and credentials.
  • Clients must ensure that all information provided during registration is accurate and kept up to date.
  • Clients are responsible for all activities conducted under their account.

4. Acceptable Use

You agree not to use ContentCanoe's services to:

  • Upload, host, or distribute unlawful, harmful, infringing, or abusive content.
  • Interfere with or disrupt the services, networks, or servers.
  • Circumvent security measures or attempt unauthorized access.
  • Send spam, malicious code, or unauthorized communications.

We reserve the right to suspend or terminate accounts that violate this section.

5. Client Content

  • Clients retain ownership of the content they upload to ContentCanoe.
  • By uploading content, clients grant ContentCanoe a limited license to store, process, and deliver that content solely to provide the services.
  • Clients are solely responsible for the legality and accuracy of their content.

6. End Users

  • End users who access client-hosted content must comply with these Terms and any rules set by the client.
  • ContentCanoe is not responsible for how clients use or manage end user data; end users should review the client's own policies.

7. Fees and Payment

  • Certain services may require payment. Pricing, billing, and payment terms will be specified at the time of purchase.
  • Fees are non-refundable unless otherwise stated.
  • Failure to pay may result in suspension or termination of services.

8. Intellectual Property

  • ContentCanoe retains all rights, title, and interest in its platform, software, trademarks, and related intellectual property.
  • Clients may not copy, modify, reverse engineer, or create derivative works of the services.

9. Termination

We may suspend or terminate your account if you:

  • Violate these Terms or applicable laws.
  • Fail to pay required fees.
  • Harm or risk harming the security, integrity, or reputation of the services.

You may terminate your account at any time by contacting support@contentcanoe.com.

10. Disclaimers

  • The services are provided "as is" and "as available."
  • We do not guarantee uninterrupted or error-free service.
  • We are not responsible for client content, third-party integrations, or end user conduct.

11. Limitation of Liability

To the fullest extent permitted by law:

  • ContentCanoe shall not be liable for indirect, incidental, special, or consequential damages.
  • Our total liability for any claim shall not exceed the fees paid to us by the client in the twelve (12) months preceding the claim.

12. Indemnification

Clients agree to indemnify and hold ContentCanoe harmless from any claims, damages, or expenses arising from:

  • Their content,
  • Their use of the services, or
  • Violations of these Terms.

13. Changes to Terms

We may update these Terms from time to time. If we make material changes, we will notify clients by email or through the platform. Continued use of the services constitutes acceptance of the revised Terms.

14. Governing Law

These Terms are governed by the laws of Ontario, Canada, without regard to its conflict of law principles.
